Nirmol Bangladesh has announced its upcoming Extraordinary General Meeting (EGM) and 6th Annual General Meeting (AGM), to be held on August 21, 2026, in Dhaka. This pivotal gathering represents a landmark moment for the organization, featuring critical voting on constitutional amendments to restructure governance, the official adoption of audited financial statements, approval of a $4.5M+ annual budget, and a democratic election to choose the next Executive Committee.

Laying the Path for Sustainable Growth

Since its founding in late 2017 as a youth-led social welfare movement, Nirmol Bangladesh (officially registered under the Societies Registration Act, 1860; Reg No. S-13946/2022) has undergone a rapid evolution.

What began as a local humanitarian response initiative has transformed into a national advocate for environmental sustainability, critical climate adaptation and marine science.

Today, as Nirmol Bangladesh manages internationally funded programs and scientific research across Bangladesh, the need for robust, transparent and scalable governance is more important than ever.

To align the organizational structure with this immense growth, Nirmol Bangladesh will convene its joint Extraordinary General Meeting (EGM) and 6th Annual General Meeting (AGM) on Friday, August 21, 2026, at Eastern Plaza, Hatirpool, Elephant Road, Dhaka-1205.

This combined session will bring together our General Members, Board of Advisors and Executive Committee to deliberate on historic constitutional updates and elect the leadership that will pilot the organization's next chapter.

The EGM: Transitioning Our Constitution for Scale

Under Rule 21 of our Memorandum of Association, any constitutional amendment requires a three-fifths (3/5) majority vote of the members present at an Extraordinary General Meeting convened with a specific notice period.

Over the past decade, our operational scope has expanded to include specialized divisions such as the OceanBlue Science Institute, the Center for Climate Studies and Disaster Resilience (CCSDR), and the Nirmol Data Center.

To properly govern these multifaceted wings, the upcoming EGM will vote on three major amendments:

Introducing a Formal Organogram

Structuring our expanding workforce—including specialized research, administrative and financial departments—under a formalized organizational hierarchy.

Defining Specific Position Authorities

Codifying the duties, financial limits and operational responsibilities of each executive and staff position to guarantee complete internal transparency.

Special Founding Provisions

Establishing a dedicated constitutional provision to recognize and preserve the long-term guidance of our Founder and Founding Chairman.

These updates will solidify our operational integrity, enabling Nirmol Bangladesh to manage larger global grants and institutional collaborations seamlessly.

The 6th AGM: A Year of High-Impact Science and Outreach

Immediately following the EGM, the 6th Annual General Meeting will commence. Led by President Md. Alamgir Hossain, the AGM serves as our primary mechanism for organizational transparency and strategic alignment.

General Secretary Sheikh Fahim Faysal Sowrav will present the Annual Activity Report, detailing the progress of Nirmol Bangladesh's flagship initiatives.

GEM-in-a-Box Program

Hand-in-hand with The Ocean Foundation (TOF) and supported by Fisheries and Oceans Canada, this project continues to lead coastal eutrophication monitoring in transition zones along the Rupsha and Pasur Rivers, with datasets shared openly on GitHub.

Ocean Literacy for Climate Resilience (OLCR)

Funded by the Korea SHE Foundation, this initiative has successfully engaged coastal communities and high school students, with our climate awareness documentary achieving over 100,000 views within Bangladesh.

Youth & Academic Empowerment

Our ongoing Campus Delegate and Young Climate Leaders programs continue to mobilize university students across the nation to lead local environmental advocacy, tree plantations and policy discussions.

Financial Stewardship and the FY 2026–27 Budget

Financial accountability is a core pillar of Nirmol Bangladesh. During the meeting, Treasurer Md. Al-Nahian will present up-to-date financial statements for review and adoption.

The general body will also vote to appoint and approve the official auditing firm to conduct the central audits for the consecutive fiscal years of 2022–23, 2023–24, 2024–25 and 2025–26.

Proposed Annual Budget — FY 2026–27

Following the audits, the board will present the Proposed Annual Budget for FY 2026–27 for adoption. Reflecting our ambitious resource mobilization goals, this plan charts the allocation of funds to support our 25 core scheduled activities.

Key priorities include expanding our technical training courses in GIS and Python, launching the residential Eco-Science Boot Camp in late August 2026, and scaling up the women-centric WECE program in vulnerable coastal belt areas.

The Democratic Core: Electing the New Executive Committee

The current Executive Committee's tenure officially concludes on September 17, 2026. In accordance with Rule 18(a), the general body will elect a new governing team consisting of 1 President and 6 Executive Committee Members.

Compliance Reminder — Rule 18(b)

Only registered members who have fully cleared their outstanding annual subscription dues and have held active membership for at least forty-five (45) days prior to the election date are constitutionally eligible to vote and contest.

Your Voice Still Matters

For members who are unable to join physically due to unavoidable circumstances, Rule 14 allows written opinions on any agenda item to be submitted to the General Secretary in advance.

According to the organization's stated provisions, such written opinions will carry the same legal weight as an in-person vote.
